MEMBERSHIP TERMS AND CONDITIONS

These terms, together with any club rules and your completed Membership Application Form and Payment Authority make up all of the terms of an agreement (Agreement) between the member named in the Membership Application Form (You) and FoxFit Cremorne Pty Ltd. (ACN 36 152 460 109) (FoxFit) and its franchisees. It is important that you have read and understand all of the terms and conditions of the Agreement before accepting these Terms. If you have any questions, please ask FoxFit.

MEMBERSHIP AND ACCESS

1. Your membership will start on the Membership Start Date (Start Date) set out on your Membership Application Form, provided that: 

a. You have accepted these Terms, the Membership Application Form and Payment Authority Form; and 

b. we have verified your payment method and received any applicable Start Up Fee as set out in your Membership Application Form.

2. You are committed to your membership from the Start Date for the entire duration as set out in your Membership Application Form (Membership Period).

3. You may notify us that you wish to cancel your membership in writing within 48 hours of the Start Date (Cooling Off Period). If you do so, we will refund you any fees for services you have not used during the Cooling Off Period less and any processing fees paid to date and reasonable administration costs. The Cooling Offer Period does not apply to the Casual Packs listed on our website and mindbody app.  

3. Your membership may be placed on hold for a maximum of  eight weeks within any 12-month period (Hold Period)  You must notify FoxFit of the hold via email with at least 7 days’ notice prior to the hold commencing, at: accounts@foxfit.com.au. FoxFit require 5 working days to review email request and within 48 hours to initiate suspension from date of form completion. The Hold Period may not be less than 7 days and we are not obliged to agree to more than two suspensions per Membership Period.  This suspension will incur an administration fee of $10 per week. Any period of hold will extend the commitment period set out in your Membership Application Form. You will not be able to use the facilities whilst your membership is suspended. 

4. At the end of your Membership Period, your membership will automatically renew for further weekly periods unless your membership is terminated in accordance with paragraph 30 of this Agreement. 

5. You must be sixteen years and over to join as a member of FoxFit. FoxFit reserves the right to request proof of identity to be provided upon any member registration.

6. You must present your membership card (and any applicable identification if requested) on each visit to FoxFit to obtain access to the facilities.

7. Upon termination of your membership, all entitlements of your membership immediately cease to exist.

8. Your membership is not transferable to any other person. Your membership is personal to you.

9. We reserve the right to make reasonable amendments to these terms and conditions at any time. Any amended or current terms and conditions can be accessed from FoxFits website terms & conditions section.

10. You must provide FoxFit with at least 12 hours’ notice of cancellation prior to a group fitness class. Late class cancellations and no shows will be charged a $15 fee (members) and full class fee/deduction (non-members).

10.a Members must ensure they have available funds in their bank account on the date of scheduled direct debits. In the circumstance where funds are not available (dishonour), there will be a $5.00 administrative fee to redraw.

MEMBERSHIP FACILITIES

11. Certain membership types may have restricted access times. Refer to your membership details to see whether any restrictions apply.

12. Classes and instructors are subject to change without prior notification.

13. FoxFit may need to adjust the availability of classes without prior notice.

14. If you make a booking for a personal training session, you must provide FoxFit with at least 12 hours’ notice of cancellation. FoxFit may charge in full for the personal training session if at least 12 hours’ notice is not provided.

15. You must not: 

a. tamper with or damage any of FoxFit equipment or property; 

b. rely upon any representation relating to FoxFit equipment or its operation other than those contained in the manufacturers or FoxFit instructions or manuals; 

c. access Fox Fits premises or use its services or equipment if affected by drugs and/or alcohol; 

d. exceed the recommended loads and capacity limits of the equipment; and 

e. use or carry any illegal, prohibited or dangerous substances or materials on FoxFit premises.

If you commit any of the above acts, FoxFit reserves all rights to immediately terminate your membership. 

PAYMENT DETAILS

16. You must pay all membership fees 7 days in advance as set out in your Payment Authority Form. All Memberships have an initial 4-week commitment period. The exemption to the 4-week membership commitment period applies to all pre-sale memberships, where we request for one billing cycle (7 days) with no lock in contract.

17. Fees will be deducted weekly from your credit card or direct debit account as set out in your Payment Authority Form.

18. If your membership fees remain outstanding for any period, you will not be permitted to access the facilities.

19. FoxFit reviews its membership fees periodically and may change them from time to time. FoxFit will provide you with at least 14 days’ notice of any change and the relevant date from which the change will apply.

20. Any fees or charges that may be payable for additional services, such as personal training will be added to your direct debit payment at the time of signing up for such services.

GROUP FITNESS

3 X Weekly Membership – limited to 3 group fitness visits per week (all class types): Direct weekly debit from purchase date, 4-week initial commitment period, contract automatically reviews every 4 payments.

5 X Weekly Membership – limited to 5 group fitness visits per week (all class types): Direct weekly debit from purchase date, 4-week initial commitment period, contract automatically reviews every 4 payments.

Unlimited Weekly Membership – Unlimited Group Fitness per week (all class types): Direct weekly debit from purchase date, 4-week initial commitment period, contract automatically reviews every 4 payments.

PRE SALE Unlimited Weekly Membership – Unlimited Group Fitness per week (all class types): Direct weekly debit from purchase date, contract automatically reviews every 4 payments. one billing cycle (7 days) with no lock in contract.

PRE SALE | 3 x Weekly Group Fitness + 1 x 30 MIN PT – limited to 3 group fitness visits per week (all class types): Direct weekly debit from purchase date, contract automatically reviews every 4 payments. One billing cycle (7 days) with no lock in contract.

Home Membership – Unlimited Group Fitness + 30 MIN | 1-ON-1 | PT: direct weekly debit from purchase date, 4-week initial commitment period contract automatically reviews every 4 payments, 30 MIN | 1-ON-1 | PT weekly session has 7 day expiration.

6 Months Upfront – Unlimited Group Fitness: Expires 6 months from the sale date.

20 Session Pass – Group Fitness: Expires 3 months from the sale date.

10 Session Pass – Group Fitness: Expires 2 months from the sale date.

5 Session Pass – Group Fitness: Expires 1 months from the sale date.

Single Session- Group Fitness: Expires 7 days from the sale date.
PERSONAL TRAINING

HEALTH AND SAFETY

21. Exercising and use of FoxFit facilities may involve the risk of injury and you acknowledge and agree that you exercise and use the FoxFit facilities at your own risk. 

22. You are responsible for monitoring your physical health conditions at all times and agree to exercise to a level that is appropriate given your knowledge of your health and any medical advice you have obtained.

23. It is recommended that you visit your doctor prior to commencing a regular exercise program. It is also strongly recommended that all FoxFit members / clients are covered by ambulance insurance.

24. If you are pregnant you must notify FoxFit staff immediately prior to the commencement of any classes or equipment use.

25. All relevant injuries/illnesses should be declared to a FoxFit staff member so that a safe and beneficial program can be written for you.

26. Please inform FoxFit staff of any medical changes that may occur while you are a member/ client of FoxFit.

27. No advice provided by a FoxFit staff member should be taken as medical advice. Always consult a health care practitioner to determine the best course of action for you.

28. FoxFit reserves the right to refuse use of the facilities at any time should it be concerned about a members / client state of physical health or the health and safety of other members / clients, and may request a medical certificate be provided before returning to use the facilities.

29. You give permission for FoxFit staff to seek medical assistance at your expense in an emergency if required.

TERMINATION

30. After the commitment period set out in your Membership Application Form, you may terminate your membership by providing written notice to FoxFit emailing – accounts@foxfit.com.au and completing the termination form provided to you by FoxFit. Your membership will terminate within two billing cycles from the date FoxFit receives a completed termination form. Please note that you can only implement your membership termination on an active memberships (memberships not in suspension).

Please note that the commitment period exemption applies to PRE SALE Unlimited Group Fitness Membership were we require 1 x billing period (7 days) and lock in contract.

31. FoxFit reserves the right to terminate your membership immediately without warning if a member has behaved in a way that FoxFit believes is risky or seriously inappropriate, such as: 

a. threatening or harassing other members or staff; 

b. vandalism or deliberate damage to FoxFit property or equipment; 

c. non–adherence to this Agreement and/ or FoxFit rules; 

d. refusal to comply with the instructions of FoxFit staff in relation to policy, procedures or safety; 

e. inappropriate behaviour towards other members or staff; or 

f. allowing non-members access to FoxFit facilities.

32. FoxFit may without notice terminate your membership or refuse entry if you are in breach of this Agreement or for failure to pay any money owed to FoxFit

33. In the case of termination of membership for any of the behaviours listed above, no part of the funds paid to FoxFit shall be refunded. 

34. FoxFit will collect any membership fees that are outstanding when your membership is terminated. FoxFit may use a third party to assist in the collection of outstanding fees.

35. This Agreement and your membership shall be terminated at the election of FoxFit if provision of FoxFit services is prevented by fire, flood, drought, frost, strike or other causes beyond the reasonable control of FoxFit. No compensation will be provided to you in such circumstances.

36. If you need to terminate your membership for medical reasons, you will need to provide a medical certificate confirming you are not fit to exercise and continue your membership. Early terminations attract an administration fee of $25.

REFUND

36. We do not issue refunds for our services except as required by law or if agreed in our absolute discretion.

LIABILITY

37. FoxFit accepts no liability for any damage, loss, illness or injury resulting from the use of FoxFit facilities by members or guests howsoever that may have been caused, save for death or personal injury caused by FoxFits gross negligence.

38. FoxFit will ensure that the services that FoxFit provides to you are provided with due care and skill, are fit for the purpose for which they are commonly bought as is reasonable to expect in the circumstances, will correspond in the nature and quality with the services demonstrated to you, and are free from any defect rendering them unfit for the purposes for which our services are commonly acquired. To the extent permitted by law, unless FoxFit has breached these obligations FoxFit will not be liable for any death, injury, loss, liability or damage that you may incur as a result of the services provided by FoxFit to you.

39. To the extent permitted by legislation such as the Competition and Consumer Act 2010 (as amended from time to time) (the Act) the sole warranties are those set out in this Agreement.

40. If the services or FoxFit equipment are in any way defective, the liability of FoxFit will be limited to (at its election) replacement of FoxFit equipment or re-supply of equivalent services or refund. This shall be the sole and exclusive remedy available to you.

41. In no circumstances shall FoxFit have any liability arising from or as a result of delay in provision of any services or access to any equipment to you.

42. You release, indemnify and hold harmless FoxFit from any liability and any claim by any person in respect of services or use of FoxFit equipment whether or not the loss or damage arises in connection with any negligence, default or lack of care on the part of FoxFit or any of its representatives, any misrepresentation or any other cause.

43. To the extent permitted by the Act, FoxFit is not liable for prospective profits or special, indirect, or consequential damages. Without limiting the generality of the foregoing, in no circumstances shall the liability of FoxFit exceed the membership fee amount paid by the member. For the avoidance of doubt, consequential lossmeans loss or damage arising from a breach of contract, tort (including negligence), under statute or any other basis in law or equity including, but without limitation, loss of profits, loss of revenue, loss or denial of opportunity, loss of goodwill, loss of business reputation, future reputation or publicity, damage to credit rating and indirect, remote, abnormal or unforeseeable loss, or any similar loss whether or not in the reasonable contemplation of the parties.

44. You use the facilities on the express understanding that it is at your own risk.

45. FoxFit takes no responsibility for your personal property while on FoxFit premises. You must at all times ensure that your personal property is securely locked to prevent it from getting lost, stolen or damaged.

Please note that nothing in these terms otherwise excludes, restricts or modifies any term, condition, warranty, guarantee, right or remedy (including under a statutory guarantee) which cannot lawfully be excluded, restricted or modified.

Please refer to the warning notice below which we are required to provide to you if you are in Victoria under the Australian Consumer Law and Fair Trading Act 2012 in relation to this limitation on our liability. 

WARNING UNDER THE AUSTRALIAN CONSUMER LAW AND FAIR TRADING ACT 2012

46. In this warning, references to the supplier” mean FoxFit, and references to you” mean you and your child (if you have agreed to these Terms on behalf of a child).

47. Under the Australian Consumer Law, several statutory guarantees apply to the supply of certain goods and services. These guarantees mean that the supplier named on this form is required to ensure that the recreational services it supplies to you: 

a. are rendered with due care and skill; and 

b. are reasonably fit for any purpose which you, either expressly or by implication, make known to the supplier; and 

c. might reasonably be expected to achieve any result you have made known to the supplier.

48. Under section 22 of the Australian Consumer Law and Fair Trading Act 2012, the supplier is entitled to ask you to agree that these statutory guarantees do not apply to you. If you enter into this Agreement, you will be agreeing that your rights to sue the supplier under the Australian Consumer Law and Fair Trading Act 2012 if you are killed or injured because the services provided were not in accordance with these guarantees, are excluded, restricted or modified in the way set out in this form.

49. The change to your rights, as set out in this Agreement, does not apply if your death or injury is due to gross negligence on the suppliers part.

50. Gross negligence, in relation to an act or omission, means doing the act or omitting to do an act with reckless disregard, with or without consciousness, for the consequences of the act or omission. See regulation 5 of the Australian Consumer Law and Fair Trading Regulations 2012 and section 22(3)(b) of the Australian Consumer Law and Fair Trading Act 2012.

WAIVER, RELEASE AND INDEMNITY

51. You acknowledge that there are dangers and risks inherent with participating in classes and using the equipment at FoxFit (including, but not limited to any activity that is performed within FoxFit and any specialised classes, courses and workshops that is conducted within or external to FoxFit) to which you may be exposed by accessing FoxFit (Activity).

52. You understand and acknowledge that the Activity involves some degree of risk of personal injury.

53. You warrant that you are medically sound and hereby assume all risk of physical and mental injuries, disabilities and losses which may result from or in conjunction with your participation in the Activity.

54. You agree that you are participating in FoxFits Activity at your own risk and you voluntarily assume responsibility for any injury, death or property damage you may suffer because of your participation in the Activity.

55. You agree that if you are signing this Agreement on behalf of a minor, you agree for the minor to participate in the Activity voluntarily and that you accept all responsibility for the minors health and any results or injuries that may affect the minors well-being or health in any way. You waive any claims, demands, causes of action or any claims for relief whatsoever against, and release FoxFit (as well as its officers, agents, representatives, volunteers and other related members) from any and all liability, claims, and/ or causes of action that the minor may have for injuries or other damages, arising out of participation in FoxFits Activity.

56. Any dependent/s in your care that are in attendance with you are your sole responsibility, and you must supervise them at all times. You waive any claims, demands, causes of action or any claims for relief whatsoever against, and release FoxFit (as well as its officers, agents, representatives, volunteers and other related members) from any and all liability, claims, and/ or causes of action that your dependent/s may have for injuries or other damages. 

57. You agree that if you are pregnant or post-partum, you must seek your own medical advice before participating in the Activity and that you accept all responsibility for your health and any results or injuries that may affect your well-being or health in any way. You waive any claims, demands, causes of action or any claims for relief whatsoever against, and release FoxFit (as well as its officers, agents, representatives, volunteers and other related members) from any and all liability, claims, and/or causes of action that you may have for injuries or other damages, arising out of participation in FoxFits Activity.

58. To the maximum extent possible at law, you agree to release, hold harmless and indemnify FoxFit, its officers, agents, representatives, volunteers and other related members from and against all actions, claims, suits, costs, expenses, demands and damages suffered or incurred by FoxFit because of or in respect of or in any manner whatsoever arising out of or caused by your use of FoxFit or participation in the Activity.

59. You agree that you are using FoxFit on the express condition that FoxFit: 

a. will, under no circumstances be liable or responsible in any manner whatsoever for any death, loss, accident, damage or injury to you whatsoever which may happen because of your use of FoxFit facilities and equipment; and 

b. will not incur or be under any liability whatsoever to you for any loss, damage or injury to or in respect of any of your property, except as occasioned by the gross negligence, acts or omissions of FoxFit or its servants, agents, contractors, or invitees.

60. You recognise that there is risk involved in the Activity offered by FoxFit. You accept full responsibility for any death, loss, accident, damage or injury to you whatsoever arising out of your participation in FoxFits Activity. You agree that neither you, your family, heirs, successors, assigns, or anyone claiming any interest through you (or your minor), will bring any legal action whatsoever against FoxFit, its officers, agents, representatives, volunteers and other related members as a result of any such death, loss, accident, damage or injury to you (or your minor) that arises our of participation in the Activity.

61. FoxFit shall have no liability in respect of failure to deliver or perform, or delay in delivering or performing, any obligations due to any cause outside its reasonable control.

GENERAL

62. The personal information provided by you in this Agreement will be used to process your membership application. In order to verify your personal information you may be required to provide proof of identification, such as a drivers licence. You have the right to access and correct any of your personal information that FoxFit holds on you by contacting FoxFit directly. FoxFit does not disclose your personal information to any other organisation or person unless there is a legal requirement to do so.

63. You must notify us in writing if there is any change to your membership details.

64. These terms are governed by the laws of Victoria. By entering into this Agreement, you agree to submit to the exclusive jurisdiction of the Courts of Victoria and of the Commonwealth.

65. FoxFits failure to enforce any of the terms of this Agreement shall not be construed as a waiver of any of FoxFits rights.

66. If any term is unenforceable it shall be read down so as to be enforceable or, if it cannot be read down, the term shall be severed from the Agreement without affective the enforceability of the remaining terms.

SOCIAL

67. You acknowledge that by participating in classes / sessions and using the Equipment at FoxFit you grant permission to FoxFit to use your name, photograph, image, audio recording, video recording and likeness in all forms and manner (collectively referred to as the Photos) for the purposes of advertising, media publicity, promotions, general display or for any other purposes required by FoxFit. You waive any interest or copyright that you may have in the Photos now or at any future time and acknowledge that you are not entitled, nor shall in the future be entitled, to receive any payment or consideration in respect of it and agree to make no claim against FoxFit in respect of using the Photos.

Privacy Policy

This privacy policy (Privacy Policy”) sets out how FoxFit Fitness For Females ACN 36 152 460 109) and its related entities (FoxFit” or we”) upholds your rights under the Australian Privacy Principles contained in the Privacy Act 1988 (Cth) (Privacy Act”). This Privacy Policy for FoxFit lets you know what personal information of yours we hold, what we do with it, who we will disclose it to and how you can assess the personal information we hold about you. You can also find out here how to change inaccurate personal information and how to opt out of receiving communications from FoxFit.

FoxFit may change this Privacy Policy from time to time by updating this page. This Privacy Policy is effective from 01st February 2019.
WHAT WE COLLECT

FoxFit may collect the following information:

Name
Contact information including email address and mobile
Date of birth
Emergency contact person
Bank account and/or credit card details
Payment history
Demographic information such as postcode, preferences and interests
Other information relevant to customer surveys and/or offers
Sensitive information*
For employment or other recruitment purposes, the above as well as employment and education details and generally, information relating to qualifications and experience
For franchisee application purposes, the above as well as financial capacity and residential status.

An individual is not obliged to provide their personal information to FoxFit however, without certain information from an individual it may not be possible for FoxFit to provide its products and/or services to the individual.
HOW FOXFIT COLLECT AND HOLD YOUR PERSONAL INFORMATION

Where possible, FoxFit will generally collect your personal information directly from you. FoxFit may also collect personal information from FoxFit franchisees as well as from MindBody Online Inc., FoxFit centralised online booking system, when you purchase FoxFit classes.

FoxFit may also collect personal information from you via their website www.foxfit.com.au (FoxFit website”), promotional activities, competitions and events. Also from other directly related companies and, if there is prior consent, from organisers of the events FoxFit sponsor.
* SENSITIVE INFORMATION

For the purposes of this Privacy Policy, sensitive information means the information a member has disclosed to FoxFit about their physical and mental health and well being.

Sensitive information will only ever be used for providing services to you. Such information will not be used or disclosed for any other purposes without consent, except in exceptional cases when disclosure may be required by law or is necessary to protect the rights or property of FoxFit, or any member of the public, or to lessen a serious threat to a persons health or safety. For the purposes of this Privacy Policy sensitive information is a subset of personal information.

The types of sensitive information generally collected by FoxFit include information relating to:

Your health
Your weight and body measurement
Your medical history
Whether you smoke or are pregnant
Whether you are on any medication
Other health related information that is necessary to properly advise you about fitness training.

WHAT WE DO WITH THE INFORMATION WE GATHER

FoxFit will only use and disclose your personal information so we can provide you with the services you have requested as well as for the following directly related secondary purposes:

Managing your account with FoxFit
To improve our products and services
Send promotional emails and sms (short message services) to you about new products, special offers or other information which we think you may find interesting using the email address or mobile number that you have provided**
Contact you for market research purposes. We may contact you by email, phone, fax or mail.**
To customise the FoxFit website according to your interests
We may provide your information to our third party partners for marketing or promotional purposes provided we first have your consent
Assessing your employment application and reference checking
Assessing your franchisee application and reference checking.

FoxFit will never sell your information.
WHO WILL FOXFIT DISCLOSE YOUR INFORMATION TO?

FoxFit may disclose your personal information to third parties including its franchisees for the purpose for which it collects it. That is, generally, FoxFit will only disclose your personal information to third parties for the purpose of providing FoxFit classes and products to you or other directly related secondary purposes as set out above. FoxFit may otherwise disclose your personal information with your consent or if it is required or authorised by law.

FoxFit may disclose your personal information to third party services providers overseas. All Mindbody Inc. servers are located in Irvine California with Disaster Recovery servers in Las Vegas Nevada. However, where your personal information is disclosed to an overseas recipient, we will also take adequate measures to ensure that your personal information is handled by the overseas recipient in accordance with the Privacy Act 1988 (Cth) and our instructions for the purposes described above. By providing FoxFit with your personal information, you consent to this disclosure of your personal information.
MARKETING**

Where we have obtained your consent to do so, or in circumstances where you would reasonably expect that your personal information would be used or disclosed for this purpose, we may contact you from time to time with marketing material about our other products or services or third parties. At any time you may opt out of receiving this marketing material by contacting FoxFit. Your consent to receiving this information will remain current until you notify FoxFit otherwise.
SECURITY

We are committed to ensuring that your information is secure. In order to prevent loss, misuse, and unauthorised access, use, modification, disclosure, alteration, or destruction we have put in place suitable physical, electronic and managerial procedures to safeguard and secure the information we collect online.

However, you should keep in mind that the transmission of information over the Internet is not completely secure or error-free. In particular, e-mail sent to or from this website may not be secure, and you should therefore take special care in deciding what information you send to FoxFit via e-mail.
CCTV

CCTV is installed, to monitor building security and assist in crime prevention and detection. We operate our CCTV in accordance with the guidance issued by the local data protection authority. FoxFit collects this data as part of its role as a service provider to you, and to ensure the health and safety of our staff and visitors to our site. We will not hold images for longer than necessary and will dispose of them securely.
HOW WE USE COOKIES

A cookie is a small file which asks permission to be placed on your computers hard drive. Once you agree, the file is added and the cookie helps analyse web traffic or lets you know when you visit a particular site. Cookies allow web applications to respond to you as an individual. The web application can tailor its operations to your needs, likes and dislikes by gathering and remembering information about your preferences.

We use traffic log cookies (Google Analytics) to identify which pages are being used. This helps us analyse data about web page traffic and improve the FoxFit website in order to tailor it to customer needs. We only use this information for statistical analysis purposes.

We also use Google cookies for remarketing to advertise online.

How does our remarketing activity affect you?

When you visit the FoxFit website, our web server will drop a cookie on your browser
If you leave the FoxFit website to visit another website which is part of the Google network, you may be served our ad
The remarketing cookie will be valid for 30 days.

You can remove our remarketing cookie by deleting your Internet browsing history and clearing your cookies. This can be done through the tools/settings function of your Internet browser.
